Rhodes Holdings LLC ("RHL") was founded on the principles that companies' top officers need help with the complexities and demands of the public markets. Funding their companies and managing public SEC reporting shouldn't take all of these officers' time, and that is when RHL comes in. RHL provides a turn key solution for companies that would like the benefits of being public, but have never experienced it.

Robert C. Rhodes, II is Managing Member of Rhodes Holdings LLC (“RHL”). RHL provides CEO and CFO services to $5M+ corporations seeking turn around management or public funds for further profitable growth.
Mr. Rhodes is a board member of publicly traded Systems Evolution Inc. (symbol “SEVI”), and previous to its partial sale to publicly traded Data Logic International (symbol “DLGI”), served as its Chairman and Chief Executive Officer since September 2003. During his tenure as CEO, Mr. Rhodes acquired five companies (AXP Technologies Inc., eLead Solutions Inc., CMS Technology Services LLC, Next Hire Consultants Inc., and Duration Software Inc.), achieved $9M+ revenue, and SEVI was honored by The Fast Tech 50 (presented by the Houston Business Journal) as the #1 fastest growing technology company in Houston Texas for 2005. Prior to SEVI, Mr. Rhodes founded the private SEVI Texas operating subsidiary in November 1993, which provided software engineering and business analysis consulting services for the financial and oil & gas industries. Mr. Brad M. Bingham, Esq.
Brad M. Bingham, Esq. is a licensed attorney and provides corporate counsel services with extensive experience in financing, operating and counseling publicly traded enterprises in a variety of industries. Mr. Bingham maintains extensive knowledge of United States Securities and Exchange Commission registration and reporting rules and regulations; general corporate entity creation, governance and management; contract formation and negotiation; public and private company debt, equity and mezzanine financing vehicles; corporate restructuring and M&A transactions.To date, Mr. Bingham has completed more than 100 rounds of financing for more than 40 publicly traded companies and investment funds. In addition to his legal capacities, Mr. Bingham has served on the Board of Directors and Board of Advisor for several domestic and international private and public companies. As an executive with experience as CEO, CFO and Director of Public Companies, Mr. Crawford has over 30 years of broad operating experience with Construction, Mining, Oil and Gas, IT Consulting and Management Consulting. Particular areas of specialization include Program and Project Management, raising capital, managing distressed capital projects, and turnaround of distressed business units.
Mr. Crawford most recently was Vice President for a large contractor providing construction and maintenance services in the Refinery and MidStream Oil and Gas Industry. Prior to that, Mr. Crawford was the founded and was CEO of The Project Group, Inc. from 1997 to 2005. The Project Group provided project management and general consulting services to large clients serving a variety of industries. Clients included EDS, Microsoft, BP, the U. S Department of Defense, and numerous other Fortune 500 companies.
From 1993 to 1997 he served as the Vice President of the Western U. S. for a large public contractor focused on refinery, petro-chemical and power industries. From 1989 to 1993 he was the Chief Operating Officer of the largest Advertising Agency in Houston, Texas and negotiated the sale of the Agency to Saatchi and Saatchi in 1993. Prior to that he was associated with Rice University as the COO of the Rice Center from 1985 to 1989. Prior to 1985 he worked with a large Engineering Contractor in a variety of project management training assignments. Mr. Crawford studied at the Colorado School of Mines and NC State University, earning a Bachelors in Business Management.

(Resume)Paul K. Franks, CPA presently provides Rhodes Holdings, LLC services on an on-going basis. Mr. Franks has 30 years combined experience in public accounting and industry experience. He has operated his own public accounting practice, as well as served as controller as well as chief financial officer and for various companies in a broad range of industries. His experience includes manufacturing, retail, property management, service companies, distribution companies, construction contractors and non-profit organizations.Mr. Franks currently operates his own accounting practice where he provides accounting and tax consulting.Mr. Franks most recently was the Controller for a manufacturer of pressure vessels for the natural gas industry and fabrication shop. Prior to that, Mr. Franks was the Controller of publicly traded Systems Evolution, Inc.
Mr. Jay Pigantello

He was the Managing Partner of Manhattan Transfer Registrar, a Securities & Exchange Commission registered and reporting full service transfer agency. He has been involved with over fifteen (15) reverse mergers, acquisitions and reorganizations since July 2006.From 1999 to 2001, he was a founder and key operator of V-Twin Holdings, Inc., a public company and, through acquisition, owned and operated seven motorcycle dealerships nationwide and an online parts and accessories retail division. From 2001 to 2006, Mr. Pignatello managed Global Phoneworks, LLC, a mobile virtual network operator in McLean, Virginia, growing revenues by over 200% over a 5 year period and increasing network capacities to reduce fixed costs, increasing gross profit by over 40%. Mr. Pignatello is a partner in Two Bulls, LLC, a Pennsylvania based real estate venture. Mr. Pignatello is also a partner in ADM Consulting Group, LLC, a corporate governance and management consulting firm. Mr. Pignatello is also a partner in DIBARA, Inc., a full service MVNO offering its corporate clients customized telecommunications services.
